1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Manoj LK, the owner and manager of ImgMint ("we," "us," or "our"), concerning your access to and use of the ImgMint service, including its website, API, and visual editor (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

CRITICAL LEGAL DISCLAIMER: The Service is provided by an individual owner, not a registered legal entity. Use of this Service is at your own risk. These Terms are provided as a draft and are not a substitute for legal advice. We strongly urge you to have these terms reviewed by a legal professional.

2. The Service

ImgMint is a platform that allows users to create image templates and programmatically generate image variations via an API. The Service is currently in a beta phase and is offered as-is.

3. User Accounts

To use the Service, you must register for an account using Google Sign-In. You are responsible for maintaining the confidentiality of your account and API key. You agree to accept responsibility for all activities that occur under your account.

4. Credits and Payment

The Service operates on a credit-based system ("Credits").

  • Free Credits: Upon signing up, you will receive a one-time grant of 1,000 free Credits. These Credits are for testing and development purposes and do not expire.
  • Paid Credits: You may purchase additional Credits ("Paid Credits"). The current cost is $0.01 USD per image generation, which may be subject to change.
  • No Refund Policy: Due to the nature of the pay-as-you-go digital service and the immediate consumption of resources, all purchases of Paid Credits are final and non-refundable.
  • Expiration: Purchased Credits do not expire as long as your account remains active.

5. Intellectual Property Rights

A. Your Content

You retain full and complete ownership of all intellectual property rights to the content you upload to the Service, including your base images ("Your Content"). You also retain full ownership and all commercial rights to the final images you generate using the Service ("Generated Images").

You grant us a limited, non-exclusive, worldwide, royalty-free license solely to host, store, process, and deliver Your Content and Generated Images as necessary for us to provide the Service to you.

B. ImgMint Service

We retain all rights, title, and interest in and to the Service itself, including the website, visual editor, API, documentation, and all underlying software, code, and trademarks (including the "ImgMint" name and logo). We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

6. Acceptable Use Policy

You agree not to use the Service to create, upload, transmit, or otherwise distribute any content that:

  • Is unlawful, harmful, threatening, abusive, defamatory, obscene, pornographic, or hateful.
  • Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  • Infringes on any patent, trademark, trade secret, copyright, or other intellectual property or proprietary right of any party.
  • Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware.
  • Is related to any illegal activity, including but not limited to, fraud, money laundering, or terrorism.
  • Is used to generate "spam," unsolicited commercial email, or bulk communications.
  • Violates the privacy of any third party or impersonates another person or entity.
  • Could, in our sole judgment, expose ImgMint or its owner to any legal risk, liability, or public obloquy.

7. Violation of Terms and Indemnification

A. Termination for Violation

If we determine, in our sole discretion, that you have violated this Acceptable Use Policy or any other term in this agreement, we reserve the right to immediately suspend or terminate your account without notice and without a refund of any purchased Credits.

B. Indemnification

You agree to indemnify, defend, and hold harmless Manoj LK and ImgMint from and against any and all claims, liabilities, damages, losses, costs, and expenses (including all legal fees and associated costs) arising from or related to:

  1. Your use of the Service.
  2. Your violation of these Terms.
  3. Your Content or Generated Images, including any claim that Your Content infringes on the rights of a third party.

You agree to be fully responsible for covering all legal and associated costs to resolve any issue or legal trouble arising from your violation.

8. Disclaimers and No Guarantees

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT THE SERVICE WILL BE:

  • Uninterrupted, secure, or error-free.
  • Meet your specific requirements.
  • Free of viruses or other harmful components.

This is a beta service, and you use it at your own sole risk. No guarantees of uptime or reliability are made.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MANOJ LK OR IMGMINT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA) ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE ONE (1) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

10. Term and Termination

These Terms remain in full force and effect while you use the Service.

  • Termination by You: You may terminate your account at any time by sending a deletion request to hey@manojlk.work.
  • Termination by Us: We reserve the right to suspend or terminate your account, in our sole discretion, without notice, for any reason, including for violation of these Terms (especially the Acceptable Use Policy).

Upon termination, your right to use the Service will cease, and we will delete your data in accordance with our Privacy Policy.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in India.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of changes by updating the "Effective Date." Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
